The
career of company secretary is one who is accountable for efficient
management of the corporate sector. He co-ordinates and assists various
departments of the organisation, ensures compliance of company legislations
and advises directors on statutory requirements of the company. Apart
from carrying out these functions he also looks after finance, accounts,
legal, personnel and administrative functions. The role of company
secretary has undergone a substantial change from being a compliance
officer to that of an integrated corporate manager with greater responsibilities
in all facets of company administration including corporate finance.
With liberalisation efforts and massive reforms initiated by the Government
of India, the capital markets in country have registered an impressive
growth and opened new avenues and opportunities for company secretaries. Company secretaries have already made
forays into the capital markets and financial services industry and
With a view to provide further opportunities
to members for specialisation and diversification, the Institute of
Company Secretaries of India has as part of its continuing education
programmes, introduced Post Membership Qualification Course in Capital
Markets and Financial Services. Pursuant to Section 383 A of the Company
Act, 1956, companies having a paid-up share capital of Rs. 50 lakhs
or more are statutorily required to appoint a company secretary. Membership of the Institute is the only
prescribed qualification, which a person must possess for appointment
as company secretary in such a company. Even in the case of a company
having a paid-up share capital of less than Rs. 50 lakhs. If it appoints a secretary, he should
possess one of the prescribed qualifications, which include persons
having passed the Intermediate Examination of the Institute. Also
all companies seeking listing on stock exchange are required to have
a full-time qualified company secretary. Educational
Qualification:
Candidates should have passed Senior Secondary (10+2) examination.
Provisional admission is allowed
to a candidate who has appeared or enrolled for appearing in Senior
Secondary (10+2 or equivalent) examination, provided proof of passing
the examination is produced within 6 months of making the application.
Admission is open throughout the year
by making an application in the prescribed Form FC-1 together with
documentary evidence in support of date of birth and educational qualification.
Duration of Foundation Course is 8 months, excluding the months of
admission and the examination. Foundation
course students are required to pass the Foundation examination within
3 years from the date of their admission.
